These Terms of Service (“Terms”) govern the use of the Grovinon website and the services provided by Grovinon (“Grovinon”, “we”, “us”, or “our”).
By using our website or purchasing our services, you agree to these Terms.
If you do not agree with these Terms, please do not use our website or services.
1. Our Services
Grovinon provides professional digital services, including:
- Web Design;
- Website Development;
- Search Engine Optimization (SEO);
- Website Hosting;
- Website Maintenance;
- Long-Term Website Support.
The exact scope, deliverables, deadlines, pricing, and other project requirements will be agreed with the client before work begins.
2. Project Agreements
Each project may be governed by a written proposal, quotation, statement of work, invoice, contract, or other written agreement between Grovinon and the client.
If there is a conflict between these Terms and a specific written agreement, the specific agreement will control for that project.
3. Client Responsibilities
The client agrees to:
- Provide accurate and complete information necessary for the project;
- Provide required content, images, branding materials, credentials, and other resources in a timely manner;
- Review and approve project materials within a reasonable period;
- Ensure that materials supplied to Grovinon do not infringe third-party rights;
- Maintain appropriate access and authorization for third-party services used in the project;
- Make payments according to the agreed payment terms.
Delays caused by missing information, approvals, content, access, or other client dependencies may affect project deadlines.
4. Payments
Prices and payment schedules will be agreed upon before work begins.
Unless otherwise agreed in writing:
- Work may begin after the required deposit or initial payment has been received;
- Additional work outside the agreed scope may result in additional charges;
- Hosting, maintenance, SEO, and support services may be billed periodically according to the applicable agreement;
- Late payments may result in suspension of services.
All prices are subject to applicable taxes, fees, and payment-processing charges where applicable.
5. Changes and Additional Work
The agreed project scope covers the services and deliverables described in the applicable proposal or agreement.
Requests that materially change the original scope may be treated as additional work and may require additional fees and time.
Grovinon will communicate significant additional costs before performing the additional work whenever reasonably possible.
6. Web Design and Development
Grovinon will make reasonable efforts to deliver websites according to the agreed specifications.
Unless otherwise agreed, the client is responsible for reviewing and approving the final website before launch.
We do not guarantee that a website will be completely free from bugs or technical issues. Reasonable corrections of issues directly related to our work may be provided according to the applicable project or support agreement.
7. SEO Services
SEO services are intended to improve a website’s visibility and search performance.
However, Grovinon does not guarantee:
- Specific search engine rankings;
- A specific position in search results;
- A specific amount of traffic;
- A specific number of leads, sales, or conversions.
Search engine algorithms and ranking factors are controlled by third parties and may change without notice.
8. Hosting Services
Where Grovinon provides hosting services, availability depends on the infrastructure and third-party providers used to provide the hosting service.
We will make reasonable efforts to maintain reliable hosting and respond to technical issues.
However, we do not guarantee uninterrupted or error-free availability of hosting services.
Hosting may be suspended or terminated in cases including non-payment, abuse, security risks, illegal activity, or violation of these Terms.
9. Maintenance and Long-Term Support
Maintenance and support services may include website updates, technical assistance, security updates, troubleshooting, content changes, backups, and other agreed services.
The exact services included in a maintenance or support plan will depend on the client’s selected plan or agreement.
Requests outside the agreed support scope may be billed separately.
10. Intellectual Property
Unless otherwise agreed in writing, the client retains ownership of materials supplied by the client.
Upon full payment, the client will receive the rights to the final custom work specifically created for the client as described in the applicable agreement.
Grovinon may retain ownership of pre-existing tools, frameworks, libraries, reusable code, development methods, templates, and other materials that were not created exclusively for the client.
Third-party software, fonts, plugins, libraries, images, and other third-party materials remain subject to their respective licenses.
11. Portfolio Rights
Unless otherwise agreed in writing, Grovinon may display completed projects, screenshots, project descriptions, or links to websites created by Grovinon in its portfolio, website, presentations, or marketing materials.
A client may request that a project remain confidential where appropriate.
12. Client Content and Third-Party Rights
The client is responsible for ensuring that all text, images, videos, trademarks, logos, data, and other materials supplied to Grovinon may legally be used.
The client agrees not to provide materials that infringe copyrights, trademarks, privacy rights, or other rights of third parties.
13. Acceptable Use
Clients may not use services provided by Grovinon for unlawful activities, fraud, malicious software, unauthorized access, infringement of third-party rights, or other activities prohibited by applicable law.
Grovinon may suspend services when reasonably necessary to protect its systems, clients, users, or third parties.
14. Third-Party Services
Websites may depend on third-party services, including hosting providers, domain registrars, payment processors, plugins, APIs, analytics platforms, advertising platforms, and other technologies.
Grovinon is not responsible for changes, outages, pricing, policies, or failures of third-party services.
15. Warranties and Disclaimers
Grovinon will provide services with reasonable care and professional skill.
Except where expressly stated in a written agreement, services are provided without guarantees of particular business results, revenue, rankings, traffic, leads, sales, or other commercial outcomes.
To the maximum extent permitted by applicable law, Grovinon disclaims warranties that are not expressly stated in these Terms.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Grovinon will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our services.
Where liability cannot legally be excluded, Grovinon’s liability will be limited to the maximum extent permitted by applicable law.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.
17. Suspension and Termination
Either party may terminate an ongoing service according to the applicable project or service agreement.
Grovinon may suspend or terminate services if:
- Payments remain overdue;
- The client materially breaches these Terms;
- The services are used for unlawful or abusive purposes;
- Continued service creates a significant security or legal risk.
Upon termination, the client remains responsible for fees incurred before termination.
18. Governing Law
These Terms will be governed by the laws applicable to Grovinon’s legal entity and place of establishment, unless otherwise required by applicable law or agreed in writing with the client.
Nothing in these Terms limits mandatory consumer or data protection rights that apply to you under the laws of your country or jurisdiction.
19. Changes to These Terms
Grovinon may update these Terms from time to time.
The updated version will be published on this page with a revised “Last Updated” date.
Your continued use of our website or services after changes become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
